HCST Consulting Terms and Conditions

This agreement, made between Hassler Communication Systems Technology, Inc. (“HCST”), and the below-named party (“Client”), contains the entire terms and conditions for professional services provided to Client by HCST.

RATES

Professional Services are charged as per published rates. Special rates or services may be negotiated on a per-client basis. Services are normally charged to the nearest 10th of an hour. For on-site services, clients are charged actual travel time at $25/hour.

AUTHORIZATION

Unless directed otherwise, HCST assumes Client personnel requesting HCST services are authorized to commit Client to payment for such services. Client may at their option provide HCST a list of individuals who must authorize any work for Client. 

INVOICES

Invoices are sent detailing all professional services performed for client. Professional services are included on the same invoice as HCST*Net services, as applicable. Each invoice is due within 15 days of invoice date. Any invoice over 30 days past due may be charged 2% per month (24% per year) interest on any outstanding balance.

Any dispute by Client with respect to an invoice must be provided in writing or Email to billing@hcst.com within 30 days of the invoice date, or the invoice shall be deemed correct and binding on Client.

Client will be charged $20.00 per unpaid check, and the outstanding balance will be consered unpaid.

At HCST's sole discretion, HCST may utilize services of a collections agency to recover past due amounts. Client will be responsible for any and all fees associated with collection and/or legal efforts to recover outstanding balances.

PREPAYMENT FOR SERVICES

HCST offers discounted rates for prepayment of services. In exchange for prepaid funds, Client receives discounted rates on certain HCST services (excluding hardware and software purchases, and other non-service items) performed within one-year of receipt of payment. Redunds for unused portions of prepaid services are made only within one-year of receipt of payment at non-discounted rates.

OWNERSHIP OF PRODUCTS AND TECHNOLOGIES

Any software products or components developed for a client are delivered with an un-restricted right to use by the client. HCST maintains ownership of intellectual property rights to the software product(s) or component(s).

RELATIONSHIP

This consulting agreement shall not be construed to form a partnership between the parties nor to create any form of employment relationship or any legal association that would impose liability upon one party for the act or failure to act of the other party.

USE OF CLIENTS NAME

Client agrees that HCST may use client’s name, and refer to descriptions of work performed in advertising or other promotions. Any information specifically identified as confidential by client will be treated as such by HCST, and not divulged without explicit permission of client.

PERSONNEL

HCST and client recognize that each others personnel are valuable assets and hereby agree not to recruit, hire, or otherwise engage the services of individual employees of the other party, without explicit written permission of the other party. Parties agree to reimburse the other party an amount equal to 3-months base wages from the party hired from as compensation for failure to abide by this clause.

The undersigned accept the above terms and conditions.
